Terms and Conditions (T&Cs)

These Terms and Conditions ("Terms") govern access to and use of the website https://sustain-ability.solutions (the “Site”) and the services provided by Sustain Ability Sàrl, Chemin du Russel 4, 1025 Saint-Sulpice, Switzerland (the “Company”, “we”, “us”).

By accessing the Site or engaging with our services, you agree to be bound by these Terms. If you do not agree, you must refrain from using the Site or our services.

1. Scope of Services 
Sustain Ability Sàrl offers strategic consulting services, including but not limited to the "Guided Assessment", strategic diagnostics, and ESG-aligned business advisory offerings. These services are designed to support organizational leadership in identifying sustainability-linked value opportunities. All services are provided for strategic and informational purposes only, and do not constitute legal, compliance, accounting, or investment advice.

2. Booking & Engagement 
Engagements such as the “Guided Assessment” are initiated via online booking or direct communication. Upon confirmation, the terms of the engagement are formalized via email or a separate written agreement. We reserve the right to accept or decline service requests at our sole discretion.

3. Intellectual Property 
All content, tools, methodologies, reports, templates, and frameworks—whether delivered via the Site, email, or live sessions—remain the exclusive intellectual property of Sustain Ability Sàrl unless otherwise agreed in writing. You may not reproduce, distribute, publish, or create derivative works based on our materials without prior written consent.

4. Data & Confidentiality 
We treat all client data received during an engagement with strict confidentiality. However, clients are solely responsible for the accuracy, legality, and completeness of the data they provide. We expressly disclaim responsibility for outcomes resulting from incorrect, incomplete, outdated, or unlawful data submitted by the client. We implement commercially reasonable measures to protect information but cannot guarantee against data breaches or unauthorized access.

5. Disclaimer of Warranties 
All services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that:
- Our assessments will lead to regulatory compliance or investment outcomes
- The content will be free of errors or omissions
- Third-party integrations (e.g., scheduling tools, downloads) will function flawlessly

6. Limitation of Liability 
To the maximum extent permitted by law, Sustain Ability Sàrl disclaims all liability for any direct, indirect, incidental, consequential, or punitive damages, including but not limited to: Loss of profits or business opportunities
- Misinterpretation or misuse of our reports or advice
- Technical interruptions or security breaches
- Use or reliance on third-party tools or data sources
- Your sole remedy is to discontinue use of our services or website.

7. Links to Third Parties 
The Site may include links to third-party platforms. We do not control or assume responsibility for the content, functionality, or data practices of those platforms.

8. Client Conduct 
You agree to use our Site and services lawfully and respectfully. Misuse—including infringement of IP, false data provision, or disruptive behavior—may lead to immediate suspension of access or services.

9. Governing Law & Jurisdiction 
These Terms are governed exclusively by the laws of Switzerland. Any disputes shall be submitted to the competent courts of the Canton of Vaud, to the exclusion of any other jurisdiction.

10. Payment & Pricing 
Unless otherwise agreed in writing, fees for services are as stated on the Site or in direct communications. All prices are quoted in Swiss Francs (CHF) or Euros (EUR), and are exclusive of VAT unless explicitly stated. Payment may be required:
- At the time of booking (via our online scheduling/payment platform), or
- Upon issuance of an invoice with payment terms stated therein
- Non-payment or late payment may result in delayed delivery of services or cancellation of sessions without further obligation on our part. We reserve the right to adjust pricing at any time. Confirmed engagements will retain the pricing agreed at time of booking. 

11. Cancellation & Rescheduling 
Client-Initiated Changes: You may cancel or reschedule a booked session with at least 48 hours’ notice.
Cancellations made within 48 hours of the scheduled session may be non-refundable at our discretion.
Rescheduling within 48 hours is not guaranteed and may be subject to availability.
Sustain Ability-Initiated Changes: We reserve the right to reschedule due to unforeseen circumstances. In such cases, you will be offered alternative times or a full refund.
No-shows or repeated last-minute cancellations may result in termination of the engagement and forfeiture of any payments made. 

12. Confidentiality and Non-Disclosure 
We treat all information you share in the course of our engagement as strictly confidential. This includes business strategies, internal documentation, financial information, and any other proprietary materials you disclose ("Confidential Information"). We agree to: 
- Use Confidential Information solely for delivering the agreed services
- Refrain from disclosing it to any third party without your written consent
- Take commercially reasonable measures to protect its confidentiality
Exceptions: This obligation does not apply to information that: 
- Was publicly known at the time of disclosure or becomes so through no fault of ours
- Was independently developed by us without reference to your information
- Is disclosed pursuant to a legal obligation or regulatory order
You also agree to keep any proprietary frameworks, methodologies, or documentation we provide confidential, unless otherwise licensed or authorized in writing. This clause survives termination or completion of the engagement.

13. Governing Law & Jurisdiction 
These Terms are governed exclusively by the laws of Switzerland. Any disputes shall be submitted to the competent courts of the Canton of Vaud, to the exclusion of any other jurisdiction. 

14. Modifications 
We reserve the right to update or modify these Terms at any time. Continued use of the Site after such changes constitutes acceptance of the new Terms.
